These Terms of Service ("Terms") govern your use of the CoreAxis ALH Advisory website and client portal (together, the "Services"), operated by CoreAxis ALH Advisory ("CoreAxis," "we," "us," or "our"). By accessing the Services, you agree to these Terms. If you have signed a separate client services agreement with CoreAxis, that agreement controls where it conflicts with these Terms.
CoreAxis is a management services organization (MSO) providing consulting and advisory support to assisted living homes and related operators. We are consultants — not a licensee, operator, law firm, accounting firm, or clinical provider.
Access to the client portal is provided to clients and their authorized staff. You agree to keep your login credentials confidential, use the portal only for its intended business purpose, and notify us promptly of any unauthorized access. We may suspend or revoke portal access to protect the security of the Services or where these Terms are violated.
You retain ownership of documents and information you upload to the portal ("Client Materials"). You grant us a limited license to store, process, and use Client Materials solely to provide our services. You are responsible for ensuring you have the right to share the materials you upload, including any information about residents or staff, and for complying with laws that apply to that information.
The website content, templates, tools, frameworks, and deliverables we create are the intellectual property of CoreAxis unless a client agreement says otherwise. Clients may use deliverables for their own internal business purposes. You may not resell, republish, or redistribute our materials without written permission.
Fees for consulting services are described on our Services & Fees page or in your client agreement. Unless otherwise agreed in writing, invoices are due upon the terms stated on the invoice, and we may pause services for accounts that are significantly past due.
You agree not to misuse the Services, including by attempting to gain unauthorized access, interfering with the operation of the Services, uploading malicious code, or using the Services for any unlawful purpose.
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
To the fullest extent permitted by law, CoreAxis will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amounts you paid to CoreAxis for the services giving rise to the claim in the twelve (12) months before the claim arose.
You agree to indemnify and hold CoreAxis harmless from claims arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party in connection with Client Materials.
We may suspend or terminate access to the Services for violations of these Terms. Termination of portal access does not affect obligations that by their nature survive, including payment obligations, confidentiality, and the limitations in Sections 8–10.
We may update these Terms from time to time. The effective date above reflects the latest revision. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States and the state in which CoreAxis is organized, without regard to conflict-of-law principles, except where a client agreement specifies otherwise.
